Article 1. Purpose and scope
These terms of sale govern the online subscription to the Business plan of the Imagine All The People platform, published by Imagine All The People, a French simplified joint-stock company (société par actions simplifiée) with a capital of €2,000, registered with the Rodez Trade and Companies Register under number 990 233 728, intra-community VAT number FR51990233728, whose registered office is at 1 Rue de la Planquette, 12230 Saint-Jean-du-Bruel, France. The service is reserved for professionals acting in the course of their business. The Enterprise, Integration and white-label, and Studies, delivered offerings are governed by specific negotiated contracts and are not covered by these terms.
Article 2. Description of the service
The Business subscription gives access to the Imagine All The People decision-intelligence platform: instantiation of synthetic populations, interviews conducted by the dynamic agents, projections and scenario comparison, delivery as an inquiry dossier, API. The service's unit of account is the interaction: a single exchange between a dynamic agent and a synthetic individual.
Article 3. Free trial
Any subscription may be preceded by a fifteen-day free trial, without commitment and without providing any payment method, with a quota of interactions dedicated to evaluation. At the end of the trial, access is suspended unless a subscription is taken out.
Article 4. Price
The Business subscription is billed at €1,000 excluding VAT per month on the monthly plan, or €800 excluding VAT per month with an annual commitment. It includes 50,000 interactions per month. Interactions consumed beyond the monthly quota are billed at the current tapering unit rate, displayed in the client area. Prices are exclusive of taxes; applicable VAT is added at the current rate. The annual plan's rate is guaranteed for the duration of the commitment.
Article 5. Subscription and payment
Subscription takes place online. Payment is due at each monthly term, by bank card or direct debit. Invoices are issued automatically and available in the client area. In the event of late payment, penalties calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by ten percentage points, are due, together with the statutory fixed recovery indemnity of forty euros. Persistent non-payment after a reminder may lead to suspension of the service.
Article 6. Term and termination
The monthly plan has no fixed term and can be terminated at any time with one month's notice. The annual plan is concluded for twelve months. Termination is carried out from the client area or by email to sales@allthepeople.io. As the service is reserved for professionals, the withdrawal right provided for consumers does not apply.
Article 7. Data and confidentiality
Entries made by the client in the platform remain confidential. Data provided by the client remains its property. The processing of personal data is described in the Privacy policy. Synthetic populations contain no personal records.
Article 8. Intellectual property
The platform, its models, its methods and its documentation remain the exclusive property of Imagine All The People. The client holds a non-exclusive, non-transferable right to use the service for the duration of its subscription, together with the right to use the inquiry dossiers produced for its internal needs.
Article 9. Nature of the service and liability
The platform produces simulations intended to inform decisions. Projections are probabilistic: they reduce uncertainty, they do not eliminate it. The client remains solely responsible for the decisions it makes and for the use it makes of the results. Imagine All The People is bound by a best-efforts obligation regarding the availability and quality of the service. Its liability, all causes combined, is capped at the amounts actually paid by the client over the twelve months preceding the triggering event. It cannot be held liable for indirect damages, in particular loss of business, revenue or opportunity.
Article 10. Support and availability
Support is provided by email with a response time of twenty-four business hours. Imagine All The People strives to ensure continuous availability of the service, subject to maintenance operations, notified when planned.
Article 11. Force majeure
Neither party may be held liable for a failure caused by a force majeure event within the meaning of Article 1218 of the French Civil Code.
Article 12. Changes to the terms
Imagine All The People may amend these terms. Clients are informed at least thirty days before they take effect; continuing the subscription after that date constitutes acceptance.
Article 13. Governing law and jurisdiction
These terms are governed by French law. Any dispute relating to their interpretation or performance falls, absent amicable resolution, within the jurisdiction of the competent courts of the place of Imagine All The People's registered office.
